Create Your Own SmileVino Moment! Contest

Term: The "Create Your Own SmileVino Moment!" Contest will commence on May 5, 2008, 12:00 p.m. Eastern Time ("ET"), and contest will expire on July 31, 11:59 a.m., ET, 2009 ("Term").

Eligibility: All contest entrants must be of legal drinking age. Contest is open to residents of the United States of America and residents of Canada (excluding the Province of Quebec). Employees, affiliated companies, directors, officers and/or relatives of SmileVino International Wines Inc. are not eligible to enter this Contest. Contest is subject to all federal, state, municipal and provincial laws. By entering this Contest, all entrants agree to be bound by these Official Rules and Regulations and to comply with all federal, state, municipal and provincial laws and regulations.

How To Enter: No purchase necessary to enter the Contest. You must have Internet access as of May 5, 2008, in order to enter. To enter, visit www.smilevino.com home page and click on Contests and then click on to Photo Contest anytime during the Term and complete the registration page by providing the information requested. Once the registration page is completed and your photos uploaded, click on the "submit" button and you will automatically be entered to the Contest. The registration page must be completely filled out and photos uploaded correctly to constitute an eligible entry. Please make sure that you have read and understood the Photo Submission Guidelines as well as the Assignment of Rights and Originality. Use of any automated entry software is prohibited. Sponsors and their affiliated companies are not responsible for incorrect or inaccurate entry information, human error or technical malfunctions, illegible, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any computer equipment or software or any combination thereof or for lost, stolen, late, misdirected or mutilated entries. All entries become the property of the Sponsors, and will not be returned. A PURCHASE WILL NOT INCREASE CHANCES OF WINNING.

Prizes: There will be two (2) levels of prizing consisting of:

1st Prize: The First Prize Winner will have their photographic reveal submission used in SmileVinoís annual Label series and the winner will also receive $1,000.00 (U.S.). The winner will also have their entry, biography and featured photograph posted on smilevino.com.

2nd Prizes: Two (2) Secondary prizes will be awarded $500.00 (U.S.) each and their winning photographic reveal submissions will be posted on smilevino.com.

Judging: Winners will be selected from among all eligible entries received throughout the "Term." The judging will be conducted by the Sponsor - SmileVino International Wines Inc./SmileVino.com. All decisions of the Sponsor are final. By entering this Contest, participants agree to abide by the Contest rules and recognize that the decision of the judging committee is final.

Prize Restrictions: Limit one (1) prize per individual. Prizes are non-transferable, are not convertible to cash. No substitutions are allowed except by Sponsor, who reserves the right to award a prize of equal or greater value, should the prize become unavailable. First (1st) and Second (2nd) prize winners will be contacted by e-mail to the e-mail address provided on the registration page. If, after reasonable attempts to contact the winner, the potential First (1st) and Second (2nd) prize winners do not respond within fourteen (14) days of such notification, the entire prize will be forfeited and an alternate winner selected by Sponsor from among all eligible entries received during the Term. By accepting any prize, winners consent to use of his/her name or likeness for advertising/publicity purposes without further consideration, except where prohibited by law. By entering, participants release and hold harmless Sponsors, subsidiaries, affiliates, directors, officers, employees and related entities (collectively, "Releasees") from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property that may be sustained in connection with the receipt, ownership, or use of the prize from or arising out of participation in this Contest.

Internet: If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsors reserve the right at their sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsors are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participantís or any other personís computer relating to or resulting from participation in this Contest or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Entry can only be made via one (1) e-mail address per person. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Force Majeure: The failure of the Releasees to comply with any provision of these Official Rules and Regulations due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of the control of the Releasees (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules and Regulations.
